Terms of Service

1. Acceptance of Terms

By accessing or using FourPart ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and FourPart, operated under IL Accounting & Advisory LLC, pending formation of FourPart LLC.

2. Who May Use FourPart

FourPart is designed exclusively for use by licensed accounting and financial advisory professionals, including fractional CFOs, CPAs, and advisory firm personnel ("Advisors"). By using the Platform, you represent that:

• You hold or operate under appropriate professional licenses or credentials.
• You are using the Platform in a professional advisory capacity.
• You have authority to upload and process the financial data of the clients whose data you submit.
• You are at least 18 years of age and authorized to enter into this agreement.

3. Description of the Platform

FourPart is a SaaS workflow platform that provides Advisors with tools including:

• 13-week cash flow forecasting from trial balance and accounting data uploads
• Multi-entity consolidation modeling
• Actuals vs. forecast comparison analysis
• Scenario modeling and sensitivity analysis
• Budget and forecast projections
• Key financial metrics and ratio dashboards
• AI-assisted contextual narratives (see Section 7)

Platform outputs are intended to support advisor-led client conversations, not to serve as definitive financial statements or audited reports.

4. No Professional Advice — Critical Disclaimer

Advisors are solely responsible for:

• Reviewing all Platform outputs before presenting them to clients.
• Exercising independent professional judgment in the interpretation and application of any analysis.
• Ensuring information shared with clients is appropriate, accurate, and presented at the Advisor's professional discretion.
• Complying with all applicable professional standards, licensing requirements, and fiduciary obligations.

FourPart expressly disclaims any liability arising from an Advisor's reliance on Platform outputs without independent verification and professional review.

5. User Accounts and Access

Access to FourPart is by invitation during the current early access phase. Advisors are responsible for maintaining the confidentiality of their login credentials and all activity that occurs under their account. Notify admin@fourpart.io immediately of any unauthorized access.

6. Data Upload and Client Data

By uploading Client Data, you represent and warrant that you have obtained all necessary authorizations from your clients to upload and process their financial data, and that such data does not violate any applicable law, regulation, or confidentiality obligation.

FourPart does not access, review, or use Client Data for any purpose other than providing the Platform services to you.

7. AI-Assisted Features and Limitations

FourPart incorporates AI-assisted contextual narratives that appear alongside financial metrics — for example, explaining what the Current Ratio measures and what typical good or concerning values look like. These narratives are designed to support advisor-client conversations and educational understanding, not to provide personalized advice.

FourPart also incorporates time-series intelligence that analyzes a client's own historical financial data to improve the accuracy of calculations and projections for that same client. This analysis is performed solely on the client's own data and is not used to train shared AI models.

• AI-generated narratives may contain errors or omissions.
• All AI-generated content must be reviewed by the Advisor before use with clients.
• FourPart does not guarantee accuracy or fitness of any AI-generated output.

8. Subscription, Billing, and Payment

FourPart is offered on a subscription basis. Billing is processed through Stripe. FourPart does not store credit card information. Subscriptions may be cancelled at any time; access continues through the end of the paid billing period. No refunds are issued for partial periods unless required by applicable law.

FourPart reserves the right to modify pricing with 30 days prior notice to active subscribers.

9. Acceptable Use

You agree not to use the Platform for any unlawful purpose, upload data you are not authorized to process, attempt to reverse engineer proprietary algorithms, share credentials with unauthorized parties, or represent FourPart outputs as audited financial statements or regulatory filings.

10. Intellectual Property

All Platform software, design, algorithms, and proprietary methodologies are owned by FourPart. You retain ownership of the Client Data you upload. By uploading data, you grant FourPart a limited license to process that data solely to provide Platform services to you.

11. Data Retention and Deletion

Upon cancellation, FourPart retains Client Data for 90 days to allow data export, after which it is permanently deleted. Advisors may request deletion of specific client data at any time by contacting admin@fourpart.io.

12. Disclaimers of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. USE OF THE PLATFORM IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOURPART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL FOURPART'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

14. Governing Law

These Terms are governed by the laws of the State of Illinois. Any dispute shall be resolved through binding arbitration in Cook County, Illinois.

15. Changes to These Terms

Material changes will be communicated via email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
